We are an early-stage, technology focused venture capital fund investing in women entrepreneurs and founders from underrepresented ethnicities, led/focused companies, investing in the innovative companies we want to see the world. Your investment will go into 20-25 top companies, entering at pre-seed/ seed rounds with initial cheque sizes of USD 250K-1.5M, and doubling down on winners, selected by our experienced lead partners, and you can be as involved (or uninvolved) in learning about the venture investing process as you like.

Here is a summary of what you should know:
1) The fund will invest in 20-25 companies over 5 years.
2) All-in investment (5 year management fees of 2% taken up front).
3) Profits split 80% to members, 20% to StrongHer Capital and lead investors.
4) You must be an accredited investor in order to participate.
5) Incentive - 20% over 8% hurdle rate
6) Like a mutual fund, there is no guarantee - you could lose your investment.
After you review deal terms and click submit, you will be taken to Panda Doc to complete your investment. For security measures, you will be prompted to re-enter your name and email.

ACCREDITATION
All investors in StrongHer Capital Funds must be accredited. Investing in private placements requires high tolerance for risk and illiquidity, and investors must be able to afford to lose their entire investment. See accreditation definitions below.
After you have certified your accreditation status below, you will be directed to DocuSign to complete the formal investment documents. Once we receive your signed agreement, we will send you an invoice via Bill.com within a business day.

The following define an “accredited investor” (within the meaning of Rule 501 under the Securities Act). Any single definition may apply for an investor to be considered accredited:
(a) If an individual, the Investor has a Net Worth (as defined in Exhibit A), either individually or upon a joint basis with the Investor’s spouse, of at least $1,000,000, or has had an individual income in excess of $200,000 for each of the two most recent years, or a joint income with the Investor’s spouse in excess of $300,000 in each of those years, and has a reasonable expectation of reaching the same income level in the current year.
(b) The Investor is an irrevocable trust with total assets in excess of $5,000,000 whose purchase is directed by a person with such knowledge and experience in financial and business matters that such person is capable of evaluating the merits and risks of the prospective investment.
(c) The Investor is a corporation, partnership, limited liability company or business trust, not formed for the purpose of acquiring a membership interest in the Company, or an organization described in Section 501(c)(3) of the Code, in each case with total assets in excess of $5,000,000.
(d) The Investor is an entity in which all of the equity owners, or a living trust or other revocable trust in which all of the grantors and trustees, qualify under clauses (a) through (c) above. The Investor has equity owners or grantors or trustees (as applicable).
(e) The Investor is an employee benefit plan (i)within the meaning of Section 3(3) of ERIISA if the investment decision is made by a plan fiduciary, as defined in Section 3(21) of ERISA, which is either a bank, savings and loan association, insurance company, or registered investment advisor, or if the employee benefit plan has total assets in excess of $5,000,000, or (ii) if a self-directed plan or a plan, as defined in Section 4975(e)(1) of the Code, if investment decisions are made solely by persons that are accredited investors.
